Association Constitution 1 Name of Association The Association is known as the Hong
Kong Political Science Association (hereafter called the Association). 2 Objectives The Association is a non-profit
organization. Its objectives are to promote the development and dissemination of political
science and closely related disciplines (hereafter referred to simply as political
science). 3 Membership 3.1 The Association has five classes
of membership: 3.1.1
Regular members Regular membership is open to scholars or professionals who have a postgraduate academic degree or advanced training in political science and are currently active in teaching and researching political science in Hong Kong. 3.1.2 Associate
members Associate membership is open to scholars or professionals who support the objectives of the Association but are not eligible for regular membership. 3.1.3 Student members Student membership is open to students studying for a degree in political science. 3.1.4 3.1.4 Institutional members Institutional membership is open to non-academic bodies that support the objectives of the Association. 3.1.5 Honorary members With the approval of a two-thirds majority of Council members, honorary membership may be awarded to individuals who have made a significant contribution to the development of political science in Hong Kong. 3.2 Applications for membership shall be processed and approved by the Council. 3.3 Appeals on membership classification shall be decided by a simple majority vote in the General Assembly. 4 Governing bodies 4.1 The Association has three types of governing body: 4.1.1 General Assembly 4.1.1.1 The General Assembly is the highest governing body of the Association. 4.1.1.2 The General Assembly is composed of all regular members. 4.1.1.3 The General Assembly shall meet at least once a year. 4.1.1.4 The General Assembly is quorate when one quarter of regular members are in attendance. 4.1.1.5 Decisions in the General Assembly shall be taken by simple majority vote. 4.1.1.6 A meeting of the General Assembly shall normally be announced to all members at least two weeks in advance. 4.1.1.7 All members of the Association may attend meetings of the General Assembly. Voting rights are restricted to regular members. 4.1.1.8 An emergency meeting of the General Assembly may be convened by either the Council or one quarter of regular members. 4.1.1.9 The General Assembly shall elect seven Council members once every two years. 4.1.1.10 Minutes of the General Assembly shall be taken by the Secretary and made available to all members. 4.1.2 Council 4.1.2.1 The Council is the highest governing body of the Association when the General Assembly is in recess. 4.1.2.2 The Council is composed of seven members. 4.1.2.3 Only regular members of the Association are eligible for Council membership. 4.1.2.4 Candidates for Council membership must consent to stand for election and must be nominated by at least five regular members. 4.1.2.5 Council members shall serve for renewable two-year terms, up to a maximum of two consecutive terms. 4.1.2.6 The Council is responsible for conducting the election of succeeding Council members. 4.1.2.7 Between elections Council vacancies shall be filled by co-option. 4.1.2.8 The number of co-opted Council members shall not exceed three. 4.1.2.9 The Council is quorate when four members are in attendance. 4.1.2.10 Decisions in the Council shall be taken by simple majority vote. 4.1.2.11 Council members shall elect among themselves a President, Vice-President, Secretary and Treasurer. 4.1.2.12 Minutes of the Council shall be taken by the Secretary and made available to all members. 4.1.2.13 The Council shall appoint an Honorary Auditor and an Honorary Legal Adviser. 4.1.3 Standing committees 4.1.3.1 The Council shall be responsible for establishing and dissolving standing committees. 4.1.3.2 The Council may be required to establish or dissolve a standing committee by a simple majority in the General Assembly. 4.1.3.3 All members shall be eligible for standing committee membership. 4.1.3.4 Standing committees shall be allowed to co-opt non-voting members. 5 Fees 5.1 Membership fees shall be set by the Council. 6 Financial affairs 6.1 The financial affairs of the Association shall be audited by the Honorary Auditor. 6.2 The duly audited financial affairs of the Association shall be reported to the General Assembly by the Treasurer. 6.3 The financial affairs of the Association shall be approved by the General Assembly on an annual basis. 6.4 The Association shall incur debts only with the approval of a two-thirds majority in the General Assembly. 7 Headquarters The Association’s headquarters shall be determined by the Council. 8 Official languages 8.1 The Association’s official languages are English and Chinese. 8.2 The Association’s Constitution shall be made available in both English and Chinese. 8.3 With the exception of the Constitution, documents may be written and meetings conducted in either English or Chinese. 8.4 With the exception of the Constitution, the Association is not required to translate any document from one official language to the other. 8.5 The Association is not required to provide interpretation at meetings held in either of its official languages. 8.6 At the request of a regular member, motions put to the vote at a General Assembly shall be made available in written form in both official languages by the Council. 9 Amendments 9.1 Amendments to this Constitution may be proposed either by the Council or by petition of at least one tenth of regular members. 9.2 Proposed amendments shall be submitted in English and Chinese. 9.3 Proposed amendments shall be communicated in written form to all regular members at least two weeks prior to a vote. 9.4 An amendment can be passed only by a two-thirds majority in the General Assembly. 10 Dissolution 10.1 The Association can be dissolved only by a two-thirds majority in the General Assembly. 10.2 Distribution of any remaining assets shall be determined by the General Assembly that dissolves the Association. Constitution English 香港政治科學學會章程 一. 定名 本會定名香港政治科學學會(以下簡稱本會)。 二. 宗旨 本會乃一非牟利組織,旨在促進政治科學及相關學術領域(以下簡稱政治科學)的發展與傳播。 三. 會員 3.1 本會會員分為下列五類: 3.11 基本會員 取得政治科學碩士或博士學位或完成有關之高級訓練且現時在香港從事政治科學之教學及研究之學者或專業人士,可以申請成為基本會員。 3.12 附屬會員 凡支持本會宗旨卻未能成為基本會員之學者或專業人士,可以申請成為附屬會員。 3.13 學生會員 凡修讀政治科學學位之學生,可以申請成為學生會員。 3.14 團體會員 凡支持本會宗旨之非學術性團體,可申請成為團體會員。 3.15 名譽會員 凡對香港政治科學之發展有重大貢獻之人士,經本會理事會三分之二或以上成員之同意,可以成為名譽會員。 3.2 所有會籍申請由理事會處理及批准。 3.3 有關會籍申請的上訴事宜須由會員大會以簡單多數方法投票決定。 四. 本會組織 4.1 本會包括下列組織

4.1.1.1 會員大會乃本會最高權力機關。 4.1.1.2 會員大會由所有基本會員組成。 4.1.1.3 會員大會每年須舉行最少一次會議。 4.1.1.4 會員大會的法定人數為全體基本會員的四分之一或以上。 4.1.1.5 會員大會的決定須以簡單多數方法投票通過。 4.1.1.6 所有會員通常在會員大會召開前兩星期獲通知。 4.1.1.7 所有會員皆可出席會員大會,唯只有基本會員有權投票。 4.1.1.8 理事會,或四分之一的基本會員,均可召開緊急會員大會。 4.1.1.9 會員大會每兩年選出七名理事會成員。 4.1.1.10 本會秘書負責整理會員大會會議記錄,供所有會員查閱。 4.12 理事會 4.1.2.1
會員大會休會期間,理事會乃本會最高的權力機關。 4.1.2.2

只有基本會員可當選理事。 4.1.2.4
任何基本會員,須經本人同意,並得五名或以上的其他基本會員提名,才可成為理事候選人。 4.1.2.5
理事任期兩年,可最多連續連任兩屆。 4.1.2.6
理事會負責新一屆理事選舉事宜。 4.1.2.7
理事會之空缺由理事會延攬補充。 4.1.2.8
理事會所延攬之理事總數不得超出三名。 4.1.2.9
理事會會議的法定人數為四名理事。 4.1.2.10 理事會的決定須以簡單多數方法投票通過。 4.1.2.11 本會會長、副會長、秘書及財政理事由理事互選產生。 4.1.2.12 本會秘書負責整理理事會會議記錄,供所有會員查閱。 4.1.2.13 理事會須委任本會之名譽核數師及名譽法律顧問各一名。 4.13常設委員會 4.1.3.1
理事會負責組織、解散常設委員會。 4.1.3.2
會員大會可以簡單多數方法通過要求理事會成立或解散任何常設委員會。 4.1.3.3
所有會員皆可成為常設委員會成員。 4.1.3.4
常設委員會可延攬非基本會員。 五. 會費 5.1 本會各類會員應繳之會費,得由理事會決定。 六. 財務事宜 6.1 本會之財務事宜須由本會名譽核數師核實。 6.2 財政理事須就經核實之財務事宜向會員大會作出報告。 6.3 每年的財務事宜須得會員大會通過。 6.4 本會須得會員大會三分之二的會員同意後,方可向外舉債。 七. 總部 本會總部由理事會指定。 八. 正式語言 8.1 本會之正式語言為英文及中文。 8.2 本會須提供本會章程的英文及中文版。 8.3 除本會之章程外,其他文件及會議可用英文或中文。 8.4 除本會之章程外,本會毋須負責翻譯任何文件。 8.5 會議以其中一種正式語言進行時,本會毋須提供傳譯服務。 8.6 若有基本會員提出要求,理事會須以兩種正式語言草擬供會員大會表決的議案。 九. 修改章程 9.1 修改本會章程的議案,可以由理事會或十分之一的基本會員聯署提出。 9.2 必須以英文及中文提交有關修改本會章程的建議。 9.3 所有修改本會章程的議案,必須在表決前最少兩星期以書面方式通知所有基本會員。 9.4 本會章程得由會員大會三分之二的會員通過而修改。 十. 解散 10.1 在獲得會員大會三分之二會員通過下,方可解散本會。 10.2 本會解散後任何餘下的資產,得由通過解散本會的會員大會處理其分配。 |
